Terms and Conditions

General Rules and Definitions

The term "NTI" shall refer to the NanoTech Insight Organizing committee, its officers, committees, agents or employees acting for it in the management of the Exhibition. The term "Exhibition" shall refer to the Exhibition accompanying the "International Conference on Nanotechnology: Science and Applications" [NanoTech Insight '07] to be held in Egypt, in March 10-17th 2007. The term "Exhibitor" shall mean any person, organization or other entity that is approved to maintain an Exhibit at the Exhibition. NTI shall have full power in the interpretation and enforcement of all Terms and Conditions governing the Exhibition. All matters and questions not covered by these Terms and Conditions shall be subject to the final judgment and discretion of NTI. These Terms and Conditions may be amended at any time by NTI upon written notice to such Exhibitors as may be affected by them.

Agreement

Each Exhibitor will be required to sign a NanoTech Insight 2007 Exhibitor's Contract. After reserving booth space you will receive a link to a pdf invoice. The deposit must be received (50% of the total) within ten business days of completion of the registration form to confirm your registration. By submitting the online application form and by signing the NanoTech Insight 2007 Exhibitor's Contract the Exhibitor agrees to comply with all of the terms and conditions contained herein, and by the decisions of NTI. The Exhibitor further agrees that this Contract, upon its acceptance by NTI staff, shall become binding upon all parties, their respective heirs, personal representatives, successors and/or assignees and can be amended only in writing by the parties hereto. The Exhibitor agrees that upon acceptance of this Application and Contract by NTI, with or without appropriate payment, this Application and Contract shall become a legally binding contract; enforceable against the Exhibitor in accordance with its terms. The individual completing the online application form represents and warrants that he/she is duly authorized to execute this binding contract on behalf of the exhibitor.

Registration implies full acceptance by the exhibitors of the exhibition regulations. Any infringement of these regulations may lead to immediate withdrawal of the right to participate in the exhibition without compensation or refund of sums already paid, and without prejudice to the exhibitor. By submitting an application to participate, the exhibitor makes an irrevocable commitment to occupy the space allocated and to maintain his/her installation until the date and time fixed for closure of the exhibition.

Oral Agreements

NTI will not be bound to any oral agreements, representations, or statements between NTI, exhibitors or any supplier, unless confirmed in writing. Exhibitors are encouraged to request written authorization from NTI for any planned activities that are inconsistent with these terms and conditions. These terms and conditions have been developed to allow each exhibitor equality regardless of size. Each exhibiting company should be given equal opportunity, within reason, to present its products in the most effective manner to the target audience.

Application

NTI retains the right to refuse any Application submitted for this event. Application to participate will be considered when the application deposit has been received. Applicants will be informed in writing of the acceptance or refusal of their application. In case of refusal all payments shall be fully refunded.

Character of Exhibit

The purpose of the NanoTech Insight 2007 Exhibition is to promote the latest research and technical equipment related to the field of nanotechnology. The exhibit both complements and enhances the NanoTech Insight conference to which it is tied. Each Exhibitor agrees to exhibit only those of its products used in the field of nanoscience and its applications. Exhibitors may show only the goods they manufacture or deal in during their regular course of business.

NTI reserves the right to determine, in its sole judgment, the eligibility of Exhibitors and conduct of exhibits, and to prohibit any exhibit, part thereof, or proposed exhibit that in its opinion is not suitable or in keeping with the spirit and character of the Exhibition or the purpose of NanoTech Insight '07. This reservation includes persons, things, conduct, printed matter, or anything of a character that the organizers determine is objectionable to the exhibit. In the event of such restriction or eviction, NTI is not liable for any refunds of rentals, travel, or other expenses.

Space Assignments

Space assignments are taken on a first-come first-served basis according to receipt of completed contract accompanied by payment, with the exception of sponsors who will maintain priority in receiving allocation of exhibition spaces. Representation at previous NanoTech Insight conferences will also be taken into consideration, as well as the amount of space requested and availability of requested area, and any special needs and compatibility of Exhibitors. The Organizer undertakes to allocate exhibition space as far as possible on the basis of the preference expressed by applicants.The Exhibitor understands and agrees that NTI has sole discretion on the assignment of booths. NTI is under no obligation to assign the Exhibitor any of the booths preferred by Exhibitor. Further, NTI reserves the right, if deemed to accommodate the best interest of the exhibition, to modify the positioning of stands or to alter the Exhibitor's assigned location at any time, with no obligation to provide compensation to exhibitors. Before exercising its discretion, NTI will consult with the Exhibitor. NTI reserves the right to offer to a different firm any stand or space that has not been occupied be the eve of the opening of the exhibition, with no obligation to provide compensation to the defaulting exhibitor.

Subletting Space

Exhibitors shall not assign, sublet or apportion the whole or any part of the space assigned, or have representatives, products, or materials from other companies than its own in said Exhibit without the knowledge and prior written consent of NTI. The Exhibitor will not display products or literature that are not regularly sold or distributed by the Exhibitor. With the prior written approval of NTI such may be used to illustrate the applications of its product.

Payment

A deposit of at least 50% of the rental cost of any requested space must accompany this contract. The balance of the Total Rental Cost is due no later than 90 days by the exhibitor prior to the opening date of NanoTech Insight '07. Failure by the Exhibitor to pay the Total Rental Cost by the due date may be considered a Cancellation of Exhibit Space by the NTI and may result in the Exhibitor being prohibited from participation. Purchase orders will not be recognized as an acceptance of the Exhibit Space Contract. Exhibits may not be erected until the Total Rental Cost has been received by the NTI.

Non-Profit

An exhibitor may be eligible for a reduced exhibit booth fee if they represent a non-profit organization and submit sufficient documentation as evidence to NTI. Acceptance of discounts will be made on a case-by-case basis.

Cancellation

All cancellations by Exhibitors must be in writing and must be submitted to NTI by January 1st, 2007. A 100 euro cancellation fee for each booth space is non-refundable regardless of date of notice of cancellation. Fifty percent of the deposit will be refunded if the booth space is canceled prior to January 1st, 2007. No refunds will be granted for cancellations received after January 1st, 2007. NTI shall not be liable for any interest on any amount refunded. In the event of exhibit space reduction, if NTI receives written notice of such reduction prior to January 1st, 2007, then NTI shall retain a service charge equal to fifty percent of the rental cost of the space not used. After January 1st, 2007, the Exhibitor is liable for one hundred percent of the rental cost of the space. Upon cancellation the Exhibitor loses all rights to space.

Exhibitor's space may be canceled by NTI for failure to make payments when due or failure to comply with NTI regulations. If space is canceled by NTI, the Exhibitor will be notified in writing. Upon such cancellation, NTI reserves the right to reassign that space to another Exhibitor at its discretion.

Sales or Transfer of Exhibitor's Company

In the event of the sale or transfer of a substantial portion of the assets of Exhibitor's company, or in the event of a substantial change in management of the Exhibitor, the new owner and/or management assumes the responsibility for the existing contract. NTI, if it so chooses, may in its sole determination terminate this agreement.

Exhibit Staffing

Admission to the Exhibition area will be with official NanoTech Insight registration badges only. Badges must be worn at all times and will be received at exhibitor check-in (Friday March 9th, 2007, 3-5pm). Exhibit personnel will be allowed to enter the Exhibition area one hour prior to opening. Exhibit personnel must exit the Exhibition area within 30 minutes of closing each day. Non-exhibitors will only be allowed to visit the Exhibit during Exhibit hours.

Exhibitors are obliged to ensure that their stands permanently manned during the exhibition opening hours. Exhibits must be staffed by bona fide employees or representatives of the Exhibitor, who are qualified to discuss scientific details of the development and products/applications of their company.

Exhibitor's name badges will be limited to the number indicated for the package you choose (Gold=3, Silver=2, Bronze=1, Standard=1, space only=1). Any additional personnel must register for the conference at the conference rate. The exhibiting company will be responsible for seeing that the badges are given to the appropriate person. Lost name badges will be replaced at a fee of 20 euro.

All Exhibit personnel must comply with all hosting facility regulations concerning conduct, electronic devices, entry and security.

Exhibitor Housing and Registration

Housing for the conference is available by logging with your username and password to the NanoTech Insight '07 web site (http://www.nanoinsight.net).

Set-up / Teardown

NTI will establish a schedule for setting up, opening, closing and dismantling of the Exhibits. Exhibitors undertake to observe the timetable designated for completion of their display before the exhibition opening and it's dismantling at the close of the exhibition. No display may be dismantled or packing started before the designated hour. It is the exhibitor's responsibility to pack and remove or consign for shipment all items of value prior to leaving their exhibit unattended, otherwise NTI will arrange for their removal at the exhibitor's risk and expenses. Exhibitors will not be allowed to set up booths while the show is open. Failure to check in by the start of the event, with no special arrangements having been made, may result in loss of space with the Exhibitor still being liable for full payment. Early set-up is strongly recommended. Shipments of display and exhibit materials arriving prior to the set-up day must be sent and must arrive pre-paid.

The exhibitor shall not dismantle its display or begin tear down prior to the close of the conference. Exhibitors agree that premature tear down detracts from the overall merit of the show. In the event that an exhibitor begins tear down prior to the stated closing time, the Exhibitor will be penalized a 400 euro fine and NTI will take note of such activities in considering exhibitor's application for future NanoTech Insight conferences. The exhibit personnel must remain in the exhibit area until the Exhibitor's display materials are secured. NTI cannot assume responsibility for any exhibit material left unattended in the exhibit hall during move-out. If display or materials remain on the premises six hours after the close of the conference, NTI may remove materials, and the Exhibitor shall be liable for any fees and agrees to pay all costs for dismantling and storage. NTI shall not be liable for any damage to the display or materials due to their removal or storage.

Space Provisions and Regulations

NTI has the final decision as to the acceptability of displays. No special signs, booth structures, apparatus, or lighting fixtures are permitted in excess of 8 feet in height. Maximum height along side dividers for the front half (5 feet) in from the aisle may not exceed 4½ feet. Any structure over 8 feet in height requires written approval of NTI. The Exhibitor must receive written permission from NTI to include hanging signs as part of their display. Hanging signs must be finished on all sides. All exhibits must be free standing. The Exhibitor will not paint, tape, nail, screw, staple, drill, or tack anything to the walls, columns, floor or ceiling of the building or adjoining displays. Exhibitor shall be solely responsible for all damage resulting from such actions.

Each Exhibitor must deliver to the exhibit area all equipment, apparatus, goods, material, etc., and there erect and completely install the display in the space contracted for by such Exhibitor by one and a half hours prior to the published opening time of the exhibit. Unsightly work will be strictly prohibited after that time. Property received after the opening must be arranged in spaces only during the hours the exhibit is not operating. NTI reserves the right to make modifications in the exhibit hours that may be necessary to meet program needs, with sufficient notice given to all contracted Exhibitors. Additional furniture and services customarily required by exhibitors will be available and will be fully explained in the official Exhibitor Service Kit, which will be provided to all exhibitors by the official decorator approximately 60 days in advance of the conference.

The Exhibitor must pay all costs incurred in the operation of its booth. This provision specifically covers expenditures incurred for lights, power, water and other utilities or services in connection with its own booth.

All exhibits are to be displayed so as to avoid blocking aisles, obstructing adjoining booths, damaging the premises or the leased equipment. Dollies, carts, and other such devices will not be permitted on the exhibit floor during exhibit hours without the written consent of NTI. No packing or boxing materials are to be visible in the booth at any time. Any activity that results in excessive obstruction of aisles or prevents ready access to nearby Exhibitor's booths shall be suspended for any periods specified by NTI.

Exhibitors are kindly requested to allow sufficient see-through areas, which ensure clear views of surrounding exhibits. No Exhibit will be permitted to interfere with the light, space, comfort or view of another Exhibit. Exhibitor's personnel may not enter the exhibit space of another exhibitor without permission from that exhibitor and at no time may enter an exhibit space which is not staffed, except their own. Attendants, models, robots or other employees must confine their activities to the exhibit space occupied by the exhibitor. NTI reserves the right to reject, in whole or in part, and at any time, an exhibit which, in their sole opinions, is objectionable to exhibitors or others.

The Exhibitor is to display equipment and products that will conform to the limitations of the display space as stated above. Any additional special services, including additional electrical power, must be requested in advance and cannot be guaranteed. No liabilities or damages whatsoever against NTI shall be incurred because of such rejection. The exhibitor is responsible for providing adequate surge protection.

Marketing Parameters

All promotional material must be distributed from within the confines of the Exhibitor's own area, unless written permission is granted by NTI to distribute outside the exhibitor's area. No exhibits bearing any name or form of advertisement may be displayed anywhere other than the space occupied. Exhibitors shall not schedule, foster, or conduct outside activities, which would take qualified attendees from the exhibit during exhibit hours. No exhibitor shall operate any tool or piece of equipment without prior written approval of the GPC Exposition Management. Drawings, contests and raffles must have an educational or technical orientation. All drawings, contests and raffles must have the prior written approval of NTI. No firm or organization will be permitted to solicit business within the Exhibit area unless it has been assigned space at the Exhibition. Competitive products/applications may not be displayed, referenced or otherwise employed for comparative purposes.

Audio-visual

All audiovisual and sound devices must be relevant to the Exhibitor's products. Video equipment, movie or slide projectors, tape recorders, or other sound equipment must be self-contained and fireproof. The sound must be kept at a volume not to exceed that of normal conversation. Such equipment must not interfere with neighboring exhibitors and must not exceed the height limitations of the exhibit space. NTI will not be responsible for obtaining any audio/visual equipment. Animated signs or flashing lights (other than animation of product or actual product operation) are prohibited on or in the area of the Exhibit floor. Loudspeakers will not be permitted.

Public Safety

Equipment displayed or demonstrated must be installed by strict adherence to safety measures. Exhibitors must operate and maintain exhibits so that no injury will result to any persons or property. No flammable materials are permitted, unless specially approved in writing from NTI. The Exhibitor will comply with all fire and safety regulations and will not allow the display to block the view of, or impede access to fire alarm boxes, fire hose cabinets, fire extinguishers. Electrical, pneumatic and hydraulic equipment must meet requirements of all electrical, safety and other applicable codes. Packaging containers, excelsior and wrapping paper are to be removed from the floor and must not be stored under tables or behind displays.

Elevator specifications

Exhibitors displaying massive equipment are encouraged to contact the conference venue directly to ensure sufficient passage exists to accommodate exhibit materials.

Photography

The Exhibitor shall not photograph, videotape, audiotape or create any similar recording of any portion of the Exhibition other than its own Exhibit without the prior written authorization of NTI.

Care of Exhibit Space

NTI ensures daily cleaning of the aisles. Exhibitors are responsible for the cleaning of their stands. Exhibition areas and fittings made available to exhibitors must be handed back in their original condition. The provision of refreshments to the participants by exhibitors is only permitted if the catering regulations of the exhibition building concerned are observed.

Shipments of Exhibits

Exhibitors will be responsible for delivery of their own equipment and/or display material to NanoTech Insight '07 venue and for removal of equipment and/or display material. The Exhibitor assumes full responsibility for the delivery of its materials to the space, which is assigned for the purpose of exhibiting its product, service or materials. NTI assumes no responsibility for the performance of services by common carrier, express services, telephone and telegraph companies or any other service for which the Exhibitor may wish to make a contract.

Storage

Proper identification will be available at the service center on the Exhibit floor and is to be attached to each piece to be placed in storage. Packaging materials such as paper and excelsior must be totally enclosed in containers.

Interruption of Exhibition

NTI, in their sole discretion, reserve the right to cancel any event at any time, and reserves the right to alter the general layout or limit the space allotted to each exhibitor, postpone the exhibition or transfer it to another site if unforeseen circumstances warrant such action. All fees paid by Exhibitor shall, in the sole discretion of NTI., be either credited to future events or refunded. If the exposition or any part thereof is cancelled for any reason beyond the control of NTI such as, but not limited to, damage or destruction to buildings, war, riots, strikes, weather, acts of government, or acts of God, then NTI will issue credits but is not obligated to refund any fees. In all cases, credits from event postponement or cancellation must be used within 2 years of the original postponement/cancellation dates. After 2 years, a credit on account will be considered non-refundable by NTI.

Liability and Indemnification

Each exhibitor will be required to hold NTI harmless from any and all loss, damage, claims, actions and suits whatsoever, together with all costs, expenses and attorney's fees in connection therewith, which shall grow out of any injury or death of persons or damage to or destruction of property (tangible or otherwise), that occurs within the Exhibitor's exhibit space, or resulting from or otherwise connected with activities of the Exhibitor at the Exhibition (including, but not limited to, installation, operation, use, visitation and removal of the Exhibit or use of the Exhibit Hall). The cost of repairing any damage caused by the Exhibitor, its employees, representatives or agents to the property of others and the conference venue shall be the responsibility of the Exhibitor. The Exhibitor agrees that NTI is not liable for any theft, damage or loss to or of the exhibitor's property or for any injury that may occur to the Exhibitor, its agents or employees. Equipment and all related display materials installed by exhibitors are not insured by the Organizer, and they will under no circumstances be liable for any loss, damage or destruction caused to equipment, goods or property belonging to exhibitors. It shall be solely the Exhibitor's responsibility to obtain adequate additional insurance for Exhibitor's participation in this event, including but not limited to insurance covering event cancellation and event interruption. The obligations set forth in this Section shall survive termination, performance and expiration of the Exhibitor's contract.

Unforeseen Expenses

NTI will not be liable in any instance for any unforeseen expenses incurred by Exhibitor due to the terms of the lease that NTI has with the exhibit facility.

Attendance

NTI makes no representations or warranties with respect to the demographic nature and/or volume of exhibitors and/or attendees at NanoTech Insight 2007. All Exhibitors are solely responsible to determine the suitability of this event for their particular purposes.

Exhibit Inspection

All Exhibits will be subject to inspection by NTI one hour before the opening of the Exhibits. Exhibitors found to be in violation of the rules will be requested to comply, or dismantle their Exhibits.

Violations

NTI reserves the right to restrict or evict Exhibitors for violation of any of these terms and conditions of these rules and regulations on the part of any Exhibitor. This reservation includes persons, things, conduct, printed matter or anything of a character which the Exhibit Manager determines is objectionable to the Exhibit or that interferes with the activities of neighboring Exhibitors. In the event of such restriction or eviction, NTI is not liable for any refunds or rentals or other Exhibit expense, and the Exhibitor will forfeit to NTI all monies that have been paid.

No-Oral Modification Clause

This Application and Contract may not be orally modified. Only a modification in writing, signed authorized representatives of both parties will be enforceable.

Endorsements

Acceptance of Application and Contract by NTI should in no way be construed as an endorsement by NTI of either the Exhibitor's company or its products or services. Exhibitor will not represent, advertise, communicate or imply either verbally or in writing, that its products or services are approved, endorsed, or recommended by NTI.

Amendment to Terms and Conditions

Any and all matters or questions not specifically covered by the terms and conditions contained herein shall be subject to the sole discretion of NTI. NTI may, in its sole discretion, make reasonable changes, amendments, or additions to these terms and conditions. Any such changes, amendments, or additions shall be binding on the Exhibitor equally with the other terms and conditions contained herein.
